The guidelines, responsibilities, and protections behind using Verdaride

Welcome to Verdaride. These terms of service govern your use of our carpooling platform. By using Verdaride, you agree to these terms.

1. Acceptance of Terms

1.1 Binding Agreement

By accessing, using, or registering for VerdaRide (including the website at www.verdaride.app, mobile applications, and all related services), you ("Member," "you," or "your") agree to be legally bound by these Terms of Service ("Terms"). These Terms apply whether you register to use the Service or not. If you do not agree with these Terms, you have no right to access or use the Service.

1.2 Legal Capacity

By using VerdaRide, you represent and warrant that:

  • You are at least 18 years old and capable of entering into a legally binding contract; or
  • You are 16–17 years old and using the Service under the supervision of a parent or legal guardian who has agreed to these Terms on your behalf.
  • You are not barred by Canadian law or any applicable provincial law from using this Service.
  • You comply with all local, provincial, national, and international laws.

1.3 Failure to Comply

Failure to abide by these Terms may subject you to civil and criminal penalties under applicable law.

2. Definitions

  • "Member" — Any registered or unregistered user of the Service, including Drivers and Passengers.
  • "Driver" — A Member offering spare seats in their vehicle to share with Passengers.
  • "Passenger" — A Member booking seats in a Driver's vehicle.
  • "Account" — A profile created by a Member to access and use the Service.
  • "Trip" — A planned journey from an origin to a destination on a specific date and time, posted by a Driver.
  • "Booking" — The act of a Passenger reserving and paying for one or more seats on a Trip through the Service.
  • "Contribution" — The sum of money paid by the Passenger to the Driver to cover trip-related costs (gas, tolls, wear and tear, parking). Contributions cannot generate profit for the Driver.
  • "Booking Fee" — A service fee charged by VerdaRide and added on top of the Contribution when a Passenger books a seat. The Booking Fee is paid to VerdaRide.
  • "Payment" — The total amount charged to a Passenger (Contribution + Booking Fee).
  • "Payout" — The Contribution portion sent to the Driver after the clearing period, less any applicable Payout Fees.
  • "Payout Fee" — A service fee deducted from the Driver's Payout by VerdaRide.
  • "Carpool" / "Carpooling" — Sharing a Trip in a vehicle between a Driver and Passenger(s) in exchange for a Contribution to cover trip costs only.
  • "Clearing Period" — The 4-day window after a Trip during which Passengers may dispute a Booking.

3. About VerdaRide

3.1 Platform Provider

VerdaRide is an online platform provided by [INSERT COMPANY LEGAL NAME AND REGISTRATION], a company registered in Nova Scotia, Canada, at [INSERT REGISTERED OFFICE ADDRESS]. We connect Drivers offering spare seats with Passengers seeking rides, primarily for student and employee commutes in Nova Scotia and surrounding regions.

3.2 Platform, Not Party to Trips

VerdaRide is a matching and booking platform only. We are not a transportation company and are not a party to any agreements entered into between Drivers and Passengers. We do not control the conduct of Members, do not guarantee trip completion, and are not liable for disputes between Members.

3.3 No Insurer or Agent

You acknowledge and agree that VerdaRide is not an insurer, agent, broker, or employer of any Member. We do not provide transportation services, do not employ drivers, and do not assume liability for accidents, injuries, damage, or loss arising from trips.

4. Your Account and Eligibility

4.1 Account Creation

To create an Account, you must:

  1. Be at least 18 years old (or 16–17 with a parent/guardian's consent).
  2. Provide accurate, true, current, and complete information including:
    • Legal first and last name
    • Valid email address (which you must verify)
    • Valid phone number (which you must verify)
    • Accurate age and gender
    • A well-lit profile photo clearly showing your face
    • Accurate description of yourself
  3. Agree to these Terms of Service and our Privacy Policy.
  4. Create a username and password (which you must keep confidential).

4.2 Account Ownership and Responsibility

  • You are the sole owner of your Account and are fully responsible for all activity under it.
  • You may not share your Account credentials with anyone else.
  • You may not create multiple Accounts.
  • You may not register an Account on behalf of another person.
  • You must notify VerdaRide immediately of any unauthorized access or security breach.

4.3 Information Updates

You agree to maintain, update, and keep all Registration Data accurate, true, current, and complete. VerdaRide reserves the right to suspend or terminate your Account if we have reasonable grounds to believe your information is untrue, inaccurate, outdated, or incomplete.

4.4 Eligibility to Use Service

VerdaRide reserves the right, at our sole discretion, to withdraw the Service from any Member at any time. Eligibility is subject to identity verification and compliance with these Terms.

5. Service Description and Non-Commercial Use

5.1 Carpool Service Only

The Service is strictly limited to providing a non-commercial carpooling platform for cost-sharing purposes. The Service may not be used to:

  • Offer or accept Carpooling for profit or in any commercial or professional context (unless otherwise agreed in writing by VerdaRide).
  • Operate a taxi, rideshare, or transportation service.
  • Generate revenue beyond recovering actual trip costs.

5.2 No Driver Profit

Drivers may not profit from any Trip. The Contribution may only be used to discharge the Driver's trip costs (gas, tolls, parking, vehicle wear and tear) and may not be used to generate profit for the Driver. The Driver is not entitled to profit by virtue of:

  • The amount of the Trip Contribution.
  • The types of Trips offered.
  • The frequency of Trips.
  • The number of Passengers transported.

5.3 Trip Frequency Limit

To maintain our commitment to non-commercial carpooling and comply with provincial regulations, Drivers may post and complete a maximum of 2 Trips per calendar day using the Service.

5.4 Commercial Use Warning

Using the Service in a commercial or professional capacity may:

  • Invalidate your personal auto insurance.
  • Trigger tax and regulatory requirements under Canadian law.
  • Result in suspension or permanent termination of your Account.
  • Expose you and VerdaRide to legal liability.

VerdaRide is not liable for any breaches of insurance policies resulting from commercial use.

5.5 No Additional Services

Drivers must not provide additional services (including package delivery, waiting time, extra drop-off points, or collecting additional passengers beyond booked Passengers). Passengers must not request such services.

5.6 Trip Details Pre-Agreed

  • All Trips and pick-up/drop-off points must be pre-agreed through the Service before the Trip occurs.
  • Drivers may not collect Passengers from locations not pre-agreed through the Service.
  • Drivers may not post Trips speculatively; Trips must be posted only when the Driver is 100% certain of the date, time, and route.

6. Driver Requirements and Responsibilities

6.1 Driver License Requirements

To use VerdaRide as a Driver, you must:

  • Possess a valid, non-expired, full Driver's License that matches your Account name.
  • Not hold a Learner's or New Driver's License.
  • Not have a Driver's License restricted due to criminal or traffic violations.
  • Comply with the Driver's License laws and classifications in Nova Scotia and any other provinces where you operate.

VerdaRide may suspend your Account at any time if your Driver's License does not meet these requirements or is found to be invalid.

6.2 Insurance Requirements

You are solely responsible for obtaining and maintaining valid insurance coverage.

  • You must have valid auto insurance that covers passenger transport in accordance with Nova Scotia motor vehicle laws.
  • You must verify directly with your insurance company that your policy covers ridesharing/cost-sharing trips.
  • You must inform your insurance company if you use your vehicle for carpooling.
  • For company-issued vehicles, you must verify that insurance coverage extends to all Passengers.
  • You accept full financial responsibility for any insurance claims not covered due to commercial use or policy violations.

VerdaRide does not verify, validate, or guarantee insurance coverage. Insurance gaps, denials, or lapses are entirely your responsibility.

6.3 Vehicle Requirements

Your vehicle must:

  • Be in good working condition and pass all required safety inspections.
  • Have a maximum of 7 seats (5-seat vehicles must seat a maximum of 2 Passengers in the back seat).
  • Be properly registered, insured, and legally operable.
  • Have seatbelts for all occupants.
  • Be verified by you before each Trip.

6.4 DUI/Alcohol Interlock Disclosure

If you are legally required to operate a vehicle with an alcohol interlock device (due to DUI conviction or court order), you must disclose this to VerdaRide before posting Trips. Failure to disclose will result in immediate Account suspension or termination.

6.5 Driver Conduct and Trip Fulfillment

As a Driver, you agree to:

  1. Provide accurate and truthful information in all Trip postings, including origin, destination, date, time, seats available, and any vehicle/ride preferences.
  2. Designate clear meeting places accessible to Passengers.
  3. Follow all details in your Trip posting; inform Passengers in advance of any changes.
  4. Arrive at the meeting place at least 5 minutes before departure time.
  5. Verify the identity of each Passenger and confirm they match your booking records before departure.
  6. Wait at least 10 minutes at the meeting place for any missing Passengers; attempt to contact them by phone before leaving.
  7. Inform VerdaRide of any missing Passengers.
  8. Transport Passengers safely and timely to the agreed drop-off location.
  9. Abide by all applicable traffic laws (speed limits, traffic signals, seatbelt use, no distracted driving).
  10. Not drive under the influence of alcohol, drugs, or while fatigued or unfit to drive.
  11. Be respectful and courteous to all Passengers.
  12. Report any harmful, disrespectful, or inappropriate behavior by Passengers to VerdaRide immediately.
  13. Not post Trips on behalf of anyone else; you must be the primary driver.
  14. Not use your Account for commercial purposes (this includes rideshare services or taxi-like operations).
  15. Limit to a maximum of two (2) Trips per calendar day.
  16. Maintain accurate banking information if receiving Payouts.

6.6 Cancellation by Driver

  • You may cancel a Trip without approved Bookings at any time, with no penalty.
  • You may cancel a maximum of one (1) Trip with approved Bookings (or one approved Booking) per six-month period under the "Cancellation Allowance."
  • If you cancel a second Trip within the six-month period, your Account will be reviewed and may be suspended or terminated.
  • When you cancel, Passengers receive a 100% refund (Contribution + Booking Fee).
  • Repeated or unjustified cancellations will result in Account suspension or termination.

6.7 Driver No-Show Policy

If you fail to appear at the meeting place:

  • You are considered a "no-show" if you are not at the agreed location 15 minutes after the scheduled departure time and at least one Passenger is booked and confirmed.
  • Passengers receive a 100% refund (Contribution + Booking Fee).
  • A "no-show review" is added to your profile.
  • Your Account may be suspended or terminated.
  • Repeated no-shows will result in permanent Account termination.

6.8 Compliance with Laws

You agree to:

  • Comply with all traffic laws, vehicle regulations, and insurance laws in Nova Scotia and any provinces where you operate.
  • Comply with all municipal bylaws and taxi/rideshare regulations.
  • Not use your vehicle for commercial purposes without explicit written agreement from VerdaRide.
  • Understand that commercial use may invalidate your insurance and result in legal liability.

7. Passenger Responsibilities

7.1 Passenger Conduct

As a Passenger, you agree to:

  1. Know and abide by the Driver's preferences and requirements, including:
    • Luggage size and type.
    • Acceptance of pets.
    • Smoking / non-smoking rules.
    • Any other preferences stated in the Trip posting.
  2. Arrive at the meeting place at least 5 minutes before the scheduled departure time.
  3. Have identification ready for verification by the Driver.
  4. Verify the Driver's name and vehicle details (model, color, license plate) before entering the vehicle.
  5. Abide by the Highway Safety Code (wear seatbelts, follow safety rules).
  6. Abide by all applicable laws regarding carpooling.
  7. Be respectful and courteous to the Driver and other Passengers.
  8. Report any harmful, disrespectful, or inappropriate behavior by the Driver or other Passengers to VerdaRide.
  9. Provide accurate information about the person departing (name, identity).
  10. Not request or accept additional services (package delivery, extra stops, additional passengers) beyond what was booked.

7.2 Passenger Cancellation

  • If you cancel more than 24 hours before the scheduled Trip, you receive a full Contribution refund (but Booking Fee is kept by VerdaRide).
  • If you cancel less than 24 hours before departure, the Driver receives 50% of the Contribution and you receive a 50% Contribution refund (Booking Fee kept by VerdaRide).
  • If you cancel after the scheduled departure time or fail to show up, the Driver receives 100% of the Contribution and the Booking Fee is kept by VerdaRide. No refund is issued to you.
  • Repeated cancellations may result in Account suspension or termination.

7.3 Passenger No-Show Policy

  • If you are booked on a Trip and do not appear at the meeting place 10 minutes after the scheduled departure time, you are considered a "no-show."
  • The Driver receives 100% of the Payment (Contribution + Booking Fee).
  • A "no-show review" is added to your profile.
  • Your Account may be suspended for repeated no-shows.

7.4 Payment Obligation

You agree to:

  • Pay the full Payment (Contribution + Booking Fee) as shown when you book.
  • Have sufficient funds in your selected payment method.
  • Accept that all payments are final unless a legitimate dispute is raised within the Clearing Period (4 days).

8. Pricing, Payments, and Payouts

8.1 Pricing Model

Example: For a Trip with a $6.47 Contribution and a $1.64 Booking Fee:

  • Contribution: $6.47 (paid to Driver for trip costs).
  • Booking Fee: $1.64 (paid to VerdaRide for platform services).
  • Total Payment: $8.11 (charged to Passenger).

8.2 Booking Fee

  • VerdaRide charges a Booking Fee on each Booking for matching, booking processing, customer support, and platform maintenance.
  • The Booking Fee is in addition to the Contribution and is non-refundable in most cases (see Cancellation Policy).
  • VerdaRide reserves the right to adjust the Booking Fee at any time with notice to Members.

8.3 Payments by Passengers

  • All payments must be made online through the VerdaRide platform using a valid credit or debit card.
  • Cash, e-transfers, PayPal, and other payment methods are not permitted through the Service and may result in Account closure.
  • VerdaRide uses Stripe, a PCI Level 1 certified payment processor, to securely handle payments.
  • Your credit card information is securely stored by Stripe; VerdaRide does not store sensitive payment information.

8.4 Collection and Escrow

  • Payments are collected via Stripe and held in escrow with VerdaRide.
  • During the 4-day Clearing Period, Passengers may dispute their Booking.
  • After the Clearing Period (4 days), the Payment is "cleared" and the Contribution (minus Payout Fee) is ready to send to the Driver.

8.5 Payout Fee

  • VerdaRide charges a Payout Fee when sending the Contribution to Drivers.
  • The Payout Fee is deducted from the Driver's Contribution during the Payout process.
  • Payout Fees cover bank transfer costs, fraud prevention, and payment processing.

8.6 Payouts to Drivers

Payout Methods:

  • Bank Deposit: Direct deposit to a Canadian bank account in $CAD.
  • PayPal: Transfer to a linked PayPal account in $CAD or foreign currency (exchange rates apply).

Payout Process:

  1. After a Trip occurs, the Payment enters a 4-day Clearing Period.
  2. Passengers may dispute during this window; if no dispute, Payment is "cleared."
  3. Once cleared, the Contribution (minus Payout Fee) is ready for Payout.
  4. Driver must have a valid Payout method set in their Account.
  5. Payouts are processed once per day.
  6. Processing Times:
    • Bank deposit: 2–8 business days.
    • PayPal: 0–2 business days.

8.7 Payout Forfeiture

  • If a Driver does not set up a valid Payout method within 365 days of the Trip, the Payout is forfeited and ownership transfers to VerdaRide.
  • VerdaRide is not responsible for incorrect banking or PayPal information provided by the Driver; Payouts to erroneous accounts cannot be reversed.

8.8 Fraud and Identity Verification

  • Members agree to respond to any requests from VerdaRide, payment processors, or legal entities regarding fraud prevention or identity verification.
  • Members agree to provide valid identification documents upon request.
  • VerdaRide reserves the right to freeze or withhold Payouts if fraud is suspected.
  • VerdaRide may restrict Account access pending fraud investigation.

8.9 Taxes and Reporting

  • Members are responsible for understanding and complying with all Canadian tax obligations (federal GST/HST, provincial tax, and income tax).
  • VerdaRide may issue tax reporting forms (e.g., T5A slips for Drivers).
  • Members are solely responsible for reporting income to the Canada Revenue Agency (CRA).

9. Cancellation and Dispute Policies

9.1 Driver Cancellation Policy (Full)

General:

  • Drivers may cancel a Trip without approved Bookings at any time with no penalty.
  • Drivers may cancel one (1) Trip (or one approved Booking) per six-month period under the "Cancellation Allowance."
  • A second cancellation within the same six-month window will trigger an Account review and possible suspension.

When Driver Cancels:

  • Passengers receive a 100% refund (Contribution + Booking Fee).
  • A "cancellation review" is added to the Driver's profile.
  • The Cancellation Allowance is evaluated: if the Driver was at fault, the cancellation counts; if not at fault, it does not.
  • VerdaRide reserves the right to block a Driver's Account for repeated unjustified cancellations.

Driver Cancellations Not at Fault:

  • Vehicle breakdown with advance notice.
  • Family emergency.
  • Valid medical reason.

9.2 Passenger Cancellation Policy (Full)

Cancellation >24 hours before departure:

  • Passenger receives full Contribution refund.
  • VerdaRide keeps the Booking Fee.
  • Seats are released and offered to other Passengers.

Cancellation <24 hours before departure:

  • Driver receives 50% of Contribution.
  • Passenger receives 50% Contribution refund.
  • VerdaRide keeps the Booking Fee.

Cancellation after departure or no-show:

  • Driver receives 100% of Contribution.
  • VerdaRide keeps the Booking Fee.
  • No refund to Passenger.

Repeated Cancellations:

  • Repeated cancellations (>3 in one month) may result in Account suspension or termination.

9.3 Driver No-Show Policy

Definition: Driver is not at the agreed meeting place 15 minutes after the scheduled departure time, and at least one Passenger is confirmed.

Consequence:

  • Passengers receive 100% refund (Contribution + Booking Fee).
  • A "no-show review" is added to Driver's profile.
  • Account may be suspended or terminated for repeated no-shows.

9.4 Passenger No-Show Policy

Definition: Passenger is not at the agreed meeting place 10 minutes after scheduled departure time.

Consequence:

  • Driver receives 100% of Payment (Contribution + Booking Fee).
  • A "no-show review" is added to Passenger's profile.
  • Repeated no-shows may result in Account suspension or termination.

9.5 Disputes and Clearing Period

4-Day Dispute Window:

  • Passengers or Drivers may dispute a Booking, Cancellation, or Payment within 4 days after the scheduled Trip departure date.
  • Disputes must be filed through the VerdaRide review system.
  • No refunds will be processed beyond the 4-day dispute window.

Automatic Payment Process:

  • If no dispute is filed within 4 days, the Payment is deemed final and proceeds to the Driver as a Payout (minus Payout Fee).
  • If a Passenger confirms the Trip was completed (through the app or any communication with VerdaRide), the Payment proceeds to the Driver.

Exception:

  • VerdaRide reserves the right to issue refunds outside the standard policy for:
    • Fraudulent payments.
    • Driver operating commercial service (unauthorized).
    • Passenger booking error with reasonable request within the window.
    • Driver approving Booking without confirming Trip details first.

9.6 Repeated Violations

  • Repeated cancellations, no-shows, or disputes may result in Account suspension, restrictions, or permanent termination at VerdaRide's discretion.

10. Insurance and Liability

10.1 Driver Insurance Responsibility

  • Drivers are solely responsible for obtaining and maintaining auto insurance covering passenger transport.
  • VerdaRide does not provide insurance for any Member.
  • VerdaRide is not an insurer and makes no representations about insurance coverage.
  • Drivers must verify with their insurance company that their policy covers ridesharing/cost-sharing trips.

10.2 Insurance May Not Cover Commercial Use

  • Personal auto insurance policies typically do NOT cover commercial or rideshare activities.
  • Using VerdaRide may be considered "commercial use" by your insurance company, resulting in coverage denial.
  • You accept full financial responsibility for any uncovered insurance claims arising from your use of the Service.
  • VerdaRide is not liable for insurance denials or coverage gaps.

10.3 Passenger Responsibility

  • Passengers assume all risks associated with riding in a private vehicle.
  • You are responsible for your own safety and should verify Driver identity, vehicle details, and take standard precautions when meeting a stranger.
  • Passengers are advised to inform their parents/guardians and emergency contacts of their Trip details.

10.4 No VerdaRide Liability for Accidents or Injuries

VerdaRide is not liable for:

  • Personal injury, death, or property damage arising from a Trip.
  • Accidents, collisions, or mechanical failures.
  • Criminal acts or misconduct by other Members.
  • Disputes between Driver and Passenger.
  • Medical expenses or insurance-related issues.

11. Conduct and Community Standards

11.1 Prohibited Conduct

You agree not to use the Service to:

1. Harm others:

  • Upload, post, email, transmit, or make available any content that is harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, or hateful.
  • Harm minors in any way.
  • "Stalk," threaten, or harass another Member.

2. Deceive or impersonate:

  • Impersonate any person or entity, including VerdaRide staff, or falsely state your affiliation.
  • Forge headers or manipulate identifiers to disguise the origin of any communication.
  • Provide false, inaccurate, or misleading information.

3. Infringe rights:

  • Violate intellectual property, privacy, publicity, or contractual rights of any third party.
  • Collect personal data about other Members without consent.
  • Use information from the Service for unauthorized purposes.

4. Disrupt the Service:

  • Interfere with or damage the Service, servers, or networks.
  • Upload viruses, malware, or code designed to harm functionality.
  • Disrupt normal dialogue or cause excessive scrolling.
  • Spam or distribute unsolicited advertising.

5. Violate laws:

  • Intentionally or unintentionally violate any applicable local, provincial, national, or international law.
  • Collect funds for terrorism or terrorist activities.
  • Engage in illegal solicitation or pyramid schemes.

6. Misuse the Service:

  • Use the Service for commercial activities (unless expressly authorized by VerdaRide in writing).
  • Register on behalf of another person.
  • Create multiple Accounts under different identities.
  • Share your Account credentials with others.

11.2 Reporting Misconduct

If you observe a Member acting inappropriately (offensive behavior, violence, sexual misconduct, or other disturbances), you must:

  1. Report immediately to the appropriate authorities (police, if criminal).
  2. Report to VerdaRide via our support channels: support@verdaride.com or through the in-app reporting tool.

Note: Your report does not obligate VerdaRide to take action; we reserve the right to investigate and respond at our discretion.

11.3 VerdaRide Right to Monitor and Remove Content

  • VerdaRide may monitor interactions and Messages to enforce these Terms.
  • VerdaRide reserves the right (but not the obligation) to refuse, remove, or restrict any content or Member account.
  • Any breach of these Terms will result in immediate Account suspension and possible permanent termination.

12. Anti-Harassment and Anti-Discrimination

12.1 Zero Tolerance for Harassment

VerdaRide has a zero-tolerance policy for harassment, abuse (verbal or physical), discrimination, or unwanted sexual conduct.

12.2 Protected Categories

VerdaRide prohibits discrimination based on:

  • Race, color, ethnicity, national origin.
  • Religion or belief.
  • Gender, gender identity, or sexual orientation.
  • Age or disability.
  • Marital or family status.
  • Any other protected characteristic under Canadian human rights laws.

12.3 Harassment Includes

  • Slurs, derogatory comments, or offensive language targeting protected characteristics.
  • Unwanted sexual advances, comments, or conduct.
  • Threats of violence or intimidation.
  • Repeated unwanted contact after being told to stop.
  • Behavior that creates a hostile or unsafe environment.

12.4 Consequences

Members who engage in harassment or discrimination will face:

  1. First violation: Account warning and possible temporary suspension.
  2. Repeated violations: Permanent Account termination and possible legal action.

13. Privacy

13.1 Privacy Policy

Your use of VerdaRide is governed by our separate Privacy Policy, available at www.verdaride.app/privacy. The Privacy Policy describes how we collect, use, disclose, and protect your personal information.

13.2 Consent to Data Collection

By using VerdaRide, you consent to:

  • Collection of personal information (name, email, phone, location data, Trip history).
  • Use of data for matching Drivers and Passengers, payment processing, and safety/fraud prevention.
  • Transfer of data to third-party service providers (Stripe, analytics providers).
  • Disclosure of personal data to the other Member on your Trip (Driver or Passenger) after booking is confirmed.

13.3 Data Security

  • VerdaRide uses industry-standard encryption and security measures to protect your data.
  • Credit card information is processed securely by Stripe and is not stored on VerdaRide servers.
  • VerdaRide is not responsible for breaches by third-party processors (Stripe, email providers, etc.).

13.4 Location Data

  • VerdaRide may collect GPS location data to match Drivers and Passengers and improve the Service.
  • You may disable location services in your mobile device settings; however, some Service features may not function properly.

14. Intellectual Property

14.1 VerdaRide Ownership

  • All content on VerdaRide (text, graphics, logos, code, design) is owned by VerdaRide or licensed to us.
  • All VerdaRide trademarks, trade names, service marks, and logos are the property of VerdaRide.

14.2 License to Use Service

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your personal, non-commercial use only.

14.3 Prohibited Uses

You agree not to:

  • Copy, duplicate, or download the Service or software (except as necessary to use the Service normally).
  • Modify, reverse-engineer, or create derivative works.
  • Rent, lease, loan, sell, or exploit the Service for commercial purposes.
  • Remove or alter any copyright, trademark, or proprietary notices.
  • Use the Service to compete with VerdaRide.

14.4 Member Content

  • Any content you post (Trip details, Messages, reviews) is your responsibility.
  • By posting, you grant VerdaRide a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content for operational and marketing purposes.
  • You represent that you own or have the right to post all content you submit.

15. Limitation of Liability and Indemnity

15.1 "As-Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND.

VerdaRide explicitly disclaims all warranties, including:

  • Merchantability, fitness for a particular purpose, and non-infringement.
  • That the Service will be uninterrupted, timely, secure, or error-free.
  • That the quality, accuracy, or reliability of the Service will meet your expectations.
  • That any errors in the software will be corrected.

15.2 No Liability for Content or Third-Party Conduct

  • VerdaRide is not responsible for any content posted by Members.
  • VerdaRide is not liable for disputes, misconduct, fraud, or criminal acts by any Member.
  • VerdaRide does not investigate any Member's reputation, criminal background, morality, or conduct.
  • You are solely responsible for your interactions with other Members and assume all risks.

15.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERDARIDE SHALL NOT BE LIABLE FOR ANY:

  • Direct, indirect, incidental, special, consequential, or exemplary damages.
  • Loss of profits, revenue, data, goodwill, or use.
  • Personal injury, death, or property damage.
  • Damage to computer systems or loss of data.
  • Any other damages arising from your use of the Service, inability to use the Service, or reliance on any content.

Even if VerdaRide has been advised of the possibility of such damages.

15.4 Release

Except where prohibited by law (including Quebec consumer protection law), you release and hold harmless VerdaRide, its affiliates, officers, employees, and agents from any claims, demands, damages, or liabilities arising from:

  • Disputes with other Members.
  • Accidents, injuries, or property damage during Trips.
  • Use or misuse of the Service.

15.5 Indemnification

You agree to defend, indemnify, and hold harmless VerdaRide and its affiliates, officers, employees, agents, and partners from any claims, losses, damages, liabilities, or expenses (including reasonable legal fees) arising from:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your breach of any law or third-party right.
  • Your conduct as a Driver or Passenger.
  • Any content you post or transmit.

16. Termination and Account Suspension

16.1 Termination Rights

VerdaRide reserves the right, at our sole discretion, to immediately suspend, restrict, or permanently terminate your Account and access to the Service for:

  1. Lack of use or inactivity.
  2. Violation of these Terms (actual or suspected).
  3. Violation of any applicable law.
  4. Repeated cancellations, no-shows, or disputes.
  5. Harassment, discrimination, or inappropriate conduct toward other Members.
  6. Fraud, deception, or misrepresentation.
  7. Requests by law enforcement or government agencies.
  8. Self-initiated account deletion.
  9. Unexpected technical, security, or operational issues.
  10. Nonpayment of any fees owed to VerdaRide.
  11. Operating commercial services without authorization.
  12. Commercial use in breach of Section 5.

16.2 Immediate Effect

  • Termination is effective immediately and may occur without prior notice.
  • Upon termination, all your access to the Service is revoked.
  • All related Account data and content may be permanently deleted.

16.3 No Liability for Termination

VerdaRide is not liable for any loss, damage, or inconvenience resulting from Account suspension or termination.

16.4 Account Data After Termination

  • VerdaRide may retain your data (names, Account ID, Trip history) for legal, compliance, and fraud prevention purposes.
  • You may request data deletion in accordance with our Privacy Policy, subject to legal retention requirements.

17. Dispute Resolution

17.1 VerdaRide Dispute Resolution

VerdaRide provides a contact form and support channels for Members to report conflicts and resolve disputes related to:

  • Bookings and Payments.
  • Cancellations.
  • No-shows.
  • Member conduct.

17.2 Good-Faith Resolution Process

When a dispute is reported:

  1. VerdaRide will review the dispute and gather information from both parties.
  2. VerdaRide will attempt to resolve the dispute in a timely manner (typically within 10 business days).
  3. VerdaRide is not obligated to resolve all disputes but will use reasonable efforts.
  4. VerdaRide may withhold or reverse Payouts pending dispute resolution.

17.3 Unresolved Disputes

If a dispute cannot be resolved between Driver and Passenger:

  • VerdaRide may withhold outstanding money until an agreed solution or legal decision is reached.
  • Members may pursue legal recourse through small claims court or other appropriate forums.
  • Members may also pursue arbitration or mediation if expressly agreed.

17.4 Legal Disputes

  • Any legal action or claim must be filed within one (1) year of the date the cause of action arises, or it is forever barred.
  • Disputes arising from the Service shall be governed by the laws of Nova Scotia and Canada (see Section 19).

18. Modifications to Terms

18.1 Right to Modify

VerdaRide reserves the right, at our sole discretion, to modify these Terms (including Booking Fees, service features, and cancellation policies) at any time and without prior notice.

18.2 Notification of Changes

  • When we modify the Terms, we will post the modifications on the Service or provide notice via email.
  • The "Last Updated" date at the top of these Terms will be updated.
  • Material changes will be highlighted to Members.

18.3 Continued Use = Acceptance

By continuing to access or use the Service after modifications are posted or notified, you are indicating your agreement to be bound by the modified Terms.

18.4 Rejection of Modified Terms

If the modified Terms are not acceptable to you, your only recourse is to cease using the Service and terminate your Account.

19. Governing Law

19.1 Jurisdiction

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the Province of Nova Scotia and the laws of Canada, without regard to conflict-of-law principles.

19.2 Forum for Legal Action

You and VerdaRide agree to submit to the exclusive jurisdiction of the courts located in Halifax, Nova Scotia, Canada for the resolution of any legal disputes arising from these Terms or the Service.

19.3 Consumer Protection

Nothing in these Terms waives rights or protections afforded to you under mandatory consumer protection laws, including (but not limited to) the Consumer Protection Act of Nova Scotia and the Loi sur la protection du consommateur (Quebec Consumer Protection Law, if applicable).

19.4 Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision is severed, but the remaining provisions remain in full force and effect.

For Drivers:

  • Valid driver's license + passenger-covering insurance.
  • Max 2 Trips/day; no profit or commercial use.
  • Arrive 5 min early; verify Passengers; follow pre-agreed route.
  • Report misconduct; accept trip details as posted.

For Passengers:

  • Pay full Payment on time.
  • Arrive on time; respect Driver preferences.
  • Verify Driver identity and vehicle.
  • Report misconduct; accept Trip terms.

For All Members:

  • Act lawfully, respectfully, and in good faith.
  • No harassment, discrimination, or abuse.
  • No commercial use without authorization.
  • Accept liability limits and indemnity obligations.
